Terms & Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the websites, platforms, and services operated by ARKSolomon Pte. Ltd. (Singapore), including but not limited to ARKSolomon.com, ARKSOLO.shop, ARKCapital.io, and related subdomains and applications (collectively, the "Platforms").

By accessing or using any of our Platforms, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

2. Definitions

"Company", "We", "Us", or "Our" refers to ARKSolomon Pte. Ltd., incorporated in Singapore.
"Platforms" refers to all websites, apps, and digital services operated under the ARKSolomon, ARKSOLO, and ARKCapital brands.
"Merchant" refers to any individual or business that registers and uses ARKSOLO.shop to sell products or services.
"Customer" refers to any individual who browses, follows, or purchases from a Merchant via ARKSOLO.shop.
"User" refers to any person accessing any of our Platforms.
"Content" refers to all text, images, videos, data, and other materials on our Platforms.

3. Eligibility

You must be at least 18 years of age to use our Platforms. By using our services, you represent and warrant that you meet this requirement and have the legal capacity to enter into binding agreements.

4. Account Registration

Certain features of our Platforms require account registration. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the security of your account credentials.
Notify us immediately of any unauthorised access or breach.
Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Merchant Terms (ARKSOLO.shop)

5.1 Merchant Responsibilities

Merchants are solely responsible for the accuracy, legality, and quality of products and services listed. Merchants must not list:

Illegal, counterfeit, or prohibited goods or services.
Content that infringes third-party intellectual property rights.
Misleading, fraudulent, or deceptive listings.

5.2 Subscription & Fees

Merchants subscribe to ARKSOLO.shop plans (Starter, Growth, Enterprise) on a monthly basis. Subscription fees are non-refundable unless otherwise stated. We reserve the right to modify pricing with 30 days' notice.

5.3 Commission & Revenue Sharing

Revenue sharing, referral commissions, and activity pool distributions are governed by the ARKSOLO Revenue Architecture, available separately. The Company retains the right to adjust commission structures with prior notice.

6. Intellectual Property

All content, trademarks, logos, and intellectual property on our Platforms are owned by or licensed to ARKSolomon Pte. Ltd. You may not copy, reproduce, distribute, or create derivative works without our express written consent.

Merchants grant us a non-exclusive, royalty-free licence to display their store content, product listings, and promotional materials on our Platforms for the purpose of operating the service.

7. Prohibited Conduct

You agree not to:

Violate any applicable laws or regulations.
Engage in fraudulent, deceptive, or harmful activities.
Attempt to gain unauthorised access to our systems or other users' accounts.
Transmit spam, malware, or malicious code.
Scrape, harvest, or collect user data without authorisation.
Interfere with the proper functioning of our Platforms.

8. Third-Party Services

Our Platforms integrate with third-party services including Stripe (payments), Odoo (CRM), Supabase (data), HeyGen (AI video), ElevenLabs (voice), Ayrshare (social media), and others. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or omissions of third-party service providers.

9. Payments & Refunds

All payments are processed securely via Stripe. By making a purchase, you agree to Stripe's Terms of Service. Subscription fees are billed monthly and are non-refundable. Service-based product refunds are subject to individual Merchant refund policies. The Company is not liable for disputes between Merchants and Customers.

10. Disclaimer of Warranties

Our Platforms are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that our Platforms will be uninterrupted, error-free, or free of viruses or harmful components.

11. Limitation of Liability

To the maximum extent permitted by Singapore law, ARKSolomon Pte. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Platforms. Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ARKSolomon Pte. Ltd., its directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from your breach of these Terms or your use of our Platforms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Singapore. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the Singapore Mediation Centre or the courts of Singapore.

14. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on our Platforms with an updated effective date. Continued use of our Platforms after modifications constitutes acceptance of the revised Terms.
